Terms of Service

Effective date: April 19, 2026

1. Acceptance

By accessing or using the RxReport website or platform (the “Service”), you agree to these Terms of Service (the “Terms”). If you are using the Service on behalf of a pharmacy or other organization, you represent that you have authority to bind that organization to these Terms.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at security@rxreport.com of any unauthorized use.

3. Subscription and payment

Paid plans are billed in advance on a recurring basis until canceled. Fees are non-refundable except as required by law or as expressly stated in your order. We may change pricing with at least 30 days' notice before the change takes effect for your next billing period.

4. Acceptable use

You agree not to:

• Reverse engineer, scrape, or otherwise extract data from the Service beyond what the product interface permits
• Use the Service to violate any law, regulation, or third-party right
• Upload malware, attempt to bypass security controls, or interfere with other users
• Resell, sublicense, or redistribute Service output without written permission

5. Customer data

You retain all rights in data you submit to the Service (“Customer Data”). You grant RxReport a limited license to process Customer Data solely to provide, secure, and improve the Service for you, consistent with our Privacy Policy and any separate Business Associate Agreement or Data Processing Addendum that applies.

6. Intellectual property

The Service, including its software, interface, formulary diffs, alerts, and reports, is owned by RxReport and protected by intellectual property law. We grant you a non-exclusive, non-transferable right to use the Service during your subscription, subject to these Terms.

7. Third-party data

The Service incorporates data from public government sources, including state Medicaid formulary publications. We make commercially reasonable efforts to keep this data accurate and current, but we do not warrant the accuracy, completeness, or timeliness of third-party source data. You are responsible for independently verifying any information before relying on it for a reimbursement, clinical, or compliance decision.

8. Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, RxReport disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. RxReport does not provide legal, clinical, or pharmaceutical advice.

9. Limitation of liability

To the maximum extent permitted by law, RxReport's total liability arising out of or related to these Terms or the Service will not exceed the amounts you paid us in the twelve months before the event giving rise to the claim. Neither party will be liable for indirect, incidental, consequential, special, or punitive damages.

10. Indemnification

You will defend and indemnify RxReport against claims arising from your misuse of the Service or your breach of these Terms, to the extent permitted by law.

11. Termination

Either party may terminate these Terms for material breach not cured within 30 days of notice. We may suspend or terminate your access immediately for non-payment, security risk, or violations of the acceptable use section. On termination, your right to use the Service ends and we will delete or return Customer Data consistent with our Privacy Policy.

12. Changes

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the product at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in New York County, New York for any dispute not subject to arbitration.
